These Terms of Service (“Terms”) govern your use of GEPSCOUT (the “Service”), a desktop application and accompanying website operated by Sistema Hub(“we”, “us”, or “our”). By creating an account, installing the desktop application, or purchasing a subscription, you agree to these Terms.
1. What GEPSCOUT is
GEPSCOUT is a desktop application that lets you search, filter, and export public bid notices published on the Philippine Government Electronic Procurement System (PhilGEPS) at notices.philgeps.gov.ph. The application runs entirely on your own computer and accesses PhilGEPS from your own network connection. GEPSCOUT is a tool you use to access publicly available data; it is not a data-resale service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use GEPSCOUT. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
3. Your account
Accounts are created by signing in with Google. You are responsible for keeping your Google account secure and for all activity that happens under your GEPSCOUT account. Notify us immediately if you believe your account has been compromised.
4. Subscriptions and billing
- GEPSCOUT is sold as a subscription: monthly at ₱5,000 or annual at ₱50,000. Prices may be shown in your local currency at checkout.
- Payments are processed by our payment provider, Paddle.com Market Limited, which acts as the merchant of record. Paddle collects payment, calculates and remits applicable sales tax or VAT, and issues the invoice.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account page or by emailing us.
- Refunds are governed by our Refund Policy.
5. License to use GEPSCOUT
Subject to your compliance with these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the GEPSCOUT desktop application on computers you personally own or control, solely for your own business or professional use.
6. Acceptable use
You agree not to:
- Share your account credentials with others, or allow multiple unrelated people to use a single subscription.
- Reverse-engineer, decompile, or attempt to extract the source code of the application, except as permitted by applicable law.
- Resell, redistribute, or make the Service available to third parties as a hosted offering.
- Use the Service to attack, overload, or interfere with PhilGEPS or any other third-party system.
- Use the Service for any unlawful purpose.
7. Data you scout
Bid data scouted through GEPSCOUT is sourced from public PhilGEPS notices by your own computer and network. You are solely responsible for how you use that data, including compliance with PhilGEPS' terms of service, the Data Privacy Act of 2012 (Republic Act No. 10173), and any other applicable laws. Sistema Hub does not store, resell, or redistribute PhilGEPS data.
8. Intellectual property
The GEPSCOUT application, website, logos, and all associated intellectual property are owned by Sistema Hub and its licensors. No rights are transferred to you other than the limited licence described in Section 5.
9. Third-party services
GEPSCOUT relies on third-party services including Google (authentication), Paddle (payment processing), and the VPS infrastructure hosting our website. Your use of the Service is also subject to the relevant third party's terms. We are not responsible for the availability or conduct of any third-party service.
10. Disclaimers
The Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, or that bid data returned by the Service will be complete or accurate — PhilGEPS may be unavailable or change its structure at any time. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Sistema Hub's total aggregate liability arising out of or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.
12. Indemnification
You agree to indemnify and hold harmless Sistema Hub from any claims, damages, or expenses arising out of your use of the Service in violation of these Terms or of applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time if you materially breach these Terms. You may stop using the Service and cancel your subscription at any time. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the effective date of the change constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be brought before the courts of the Philippines.
